This Referral Agreement ("Agreement") is made between TTK Services Pvt. Ltd., (“TTK”) who owns and operates the website portal ‘YourManinIndia.com’ (“YMI”) and the member or person who signed up to become an Referrer to YMI and who TTK accepted to be a Member of the Referral Program ("Referrer").

1. Referrer must be an YMI member who is already registered with the YourManinIndia.com website in order to qualify for referral incentives.

2. Referrer will not qualify for referral incentives if:

   • The Referred friend (Friend) is already a registered member of YMI

   • The Referrer refers him / her self deceitfully. Such action is liable to result in termination of the membership without notice.

   • The Referrer is found to be indulging in acts that violate international law, rules and regulations. For Ex. Referring unknown people. Such action is liable to result in termination of the membership without notice.

3. Referrer may register any number of Referred friends in this promotion subject to clause.2 of this Terms and Conditions. TTK is not responsible for any malfunctions associated with the web registration process that result in incomplete information or a non-qualifying transaction on the website by the Referred Friend (Friend).

4. TTK agrees to pay Referrer, a referral incentive as specified in the Offer if a referred friend (Friend) completes a Qualifying Transaction. A Qualifying Transaction shall not be considered complete until such transaction has been validated through TTK's internal system, and in no event shall a terminated transaction be considered complete; all determinations of whether a Qualifying Transaction is complete shall be made by TTK, and shall be deemed conclusive. A referral fee shall not be paid for any Qualifying Transaction that is completed as a result of a breach by Referrer of any provision of clause.2 above. If a referral fee is paid on a Qualifying Transaction that is later terminated or is determined to be a result of a breach by Referrer of clause.2 above, Referrer shall immediately repay any commission previously received for such transaction.

5. As used herein a "Qualifying Transaction" is the purchase of a YMI Service / Product by a referred friend (Friend) that is described in the Referral Offer or any other transaction for which TTK agrees to pay a referral fee as defined in an Offer and if that referred friend (Friend) has accessed TTK's site and completed the Qualifying Transaction via a Qualifying Link or a Qualifying tracking code.

6. A "Qualifying Link" is a link sent by TTK to the referred friend (Friend) to complete a Qualifying Transaction during a Session; however, if the referred friend links from another Referral during a Session, the Qualifying Link shall be considered to be the link from which the 'Friend' visited to complete the Qualifying transaction.

7. A "Qualifying tracking code" is a referral code sent by TTK to the referred friend (Friend) on behalf of the referrer to complete a Qualifying Transaction during a Session; however, if the referred friend uses another tracking code during a Session, the Qualifying tracking code shall be considered to be the referral tracking code which the 'Friend' used to complete the Qualifying Transaction.

8. If the Friend uses neither the 'Qualifying Link', nor the 'Qualifying tracking code' at the time of completing a Qualifying transaction, then the referrer is not eligible for any referral incentive.

9. Referral incentives are applicable only on the first qualifying transaction of the referred friend (Friend) within the time period ("Session") specified in the offer.

10. In case of a Qualifying transaction arising out of multiple referrals to the same person (Friend), referral incentive will belong to the member whose 'Qualifying Link' or 'Qualifying tracking code' is used to complete a Qualifying transaction. Only one referrer will be eligible for the referral incentive on any qualifying transaction.

11. A "Session" is the period of time beginning from the valid references of 'Friends' given by the Referrer on the TTK website and terminating at midnight Indian Standard Time on the last Return Day, as defined in the Offer. All determinations of completed Qualifying Transactions and whether a referral fee is payable will be made solely by TTK based upon the YMI Referral reports, and shall be deemed conclusive.

12. TTK agrees to credit the referral incentive to the Referrer within 10 working days of a Qualifying transaction. Such credits can be redeemed against any product / service on YMI. No cash payouts are possible.

13. TTK shall have the sole right and responsibility for processing all orders made by Consumers. Referrer acknowledges that all agreements relating to sales to Consumers shall be between TTK and the Consumer.

Representations and Warranties

1. Referrer represents and warrants that (a) he/she has the right, power and authority to enter into this Agreement and the Engagement and to fully perform its obligations hereunder; (b) the making of this Agreement and any Engagement by it does not violate any agreement existing between it and any other person or entity; (c) it complies, and at all times shall comply, with all applicable international laws, rules and regulations in effect during the term of this Agreement pertaining to its operation of its sites, distribution of emails (including, but not limited to, the Federal CAN-SPAM Act of January 1, 2004) and to the subject matter hereof.

2. TTK represents and warrants that the YMI Service is owned or licensed by TTK and does not violate or infringe any right of privacy or publicity or any copyright, trademark, patent or other intellectual property right, or contain any libelous, defamatory, obscene or unlawful material, or otherwise violate or infringe any other right of any third party.

3. EXCEPT AS EXPRESSLY SET FORTH HEREIN, TTK DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE URL, THE TRADEMARKS, TTK'S MERCHANDISE AND SITES OR ANY OTHER MATERIALS (TANGIBLE OR INTANGIBLE) AND SERVICES SUPPLIED HEREUNDER, AND TTK HEREBY EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES WITH RESPECT THERETO, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Independent Investigation

Referrer acknowledges and agrees that it has read this agreement and agrees to all its terms and conditions. Referrer understands that TTK may at any time change the terms and conditions governing this referral agreement. Referral has independently evaluated the desirability of participating in the program and is not relying on any representation, guarantee, or statement other than as set forth in this agreement.

IN WHEREOF, the parties have entered into this Agreement as of the date of the creation of the first Engagement between the parties.
